Agenda of the Annual General Meeting on 14 January 2013

 

The Board of Directors of Schaffner Holding AG has adopted the following agenda for the 17th Annual General Meeting of Schaffner Holding AG on 14 January 2013:

 

1.

Approval of the Annual Report, company financial statements and consolidated financial statements for fiscal year 2011/12, and taking receipt of the reports of the independent auditors.

2.

 

Resolution on the appropriation of retained earnings, transfer from share premium account (i.e., from reserve for additional paid-in capital) to distributable share premium reserve, and distribution from distrib­utable share premium reserve, exempt from Swiss anticipatory tax.

a.

Appropriation of retained earnings (CHFT 14,564).

b.

 

Transfer from share premium account (reserve for additional paid-in capital) to distributable share premium reserve, and distribution from distributable share premium reserve of CHF 2.00 per share entitled to dividends, exempt from Swiss anticipatory tax.

If the proposal is approved, the distribution of CHF 2.00 net per share entitled to dividends will be paid out from 21 January 2013.

3.

Discharge of the members of the Board of Directors and the Executive Committee.

4.

Elections

a.

Re-election of Daniel Hirschi to the Board of Directors for a term of two years.

b.

Election of Gerhard Pegam to the Board of Directors for a term of two years.

c.

Re-election of Ernst & Young AG, Berne, as Statutory Auditors for the fiscal year 2012/13.

 

The share register of Schaffner Holding AG will be closed to registrations from 8 January 2013 until and including 14 January 2013.

 

The notice of the 17th Annual General Meeting of Schaffner Holding AG will be published on 19 December 2012 in the Swiss Official Gazette of Commerce (SOGC/SHAB).
